Near App Terms of Service for Partners
These Terms of Service (“Terms”) govern your organization’s (“Partner,” “you,” or “your”)
use and promotion of Near App (“Near,” “we,” “us,” or “our”), a digital journaling and
self-care app designed to support individuals experiencing grief.
By using, offering, or integrating the Near app, you agree to these Terms. If you do not agree,
do not promote, integrate, or distribute Near to your clients or community.
1. Purpose and Partnership Philosophy
NearApp exists to help people cope with grief and emotional wellness through digital
journaling and memory preservation. We aim to serve with compassion and excellence, and
we look for partners who share this mission and will help bring the app to those they
support.
2. Partner Commitments
As a Partner, you agree to:
- Offer the Near app to those you serve as part of your wellness or grief care programs.
- Collaborate with Near’s team to integrate the app into your workflows where appropriate.
- Use your best efforts to promote the app with clarity, accuracy, and alignment with our
values.
3. Intellectual Property
All intellectual property related to Near App—including the app, designs, journal
prompts, code, content, branding, and supporting materials—remain the sole and exclusive
property of Near.
You may not duplicate, modify, resell, distribute, or reverse-engineer any part of the Near
platform or content without prior written consent.
4. Term, Cancellation, and Billing
- This agreement is month-to-month and automatically renews each month unless
terminated.
- Either party may terminate the relationship by providing at least 90 days’ written notice.
- Upon termination, you must discontinue promotion and onboarding of new users and
remove Near from your client-facing materials within the notice period.
5. Fees and Refund Policy
- All fees (if applicable) are billed monthly and are non-refundable, regardless of usage.
- Pricing and billing terms will be communicated separately and may be updated with
notice.
6. No Agency or Legal Partnership
These Terms do not create any legal partnership, joint venture, employment, or agency
relationship between your organization and Near.
7. Limitation of Liability
To the fullest extent permitted by law, Near is not liable for indirect, incidental, special, or
consequential damages arising from your use or offering of the app, including but not
limited to data loss or third-party claims.
8. Governing Law
These Terms are governed by the laws of the State of Alabama, without regard to its conflict
of laws principles.
9. Changes to These Terms
Near may update these Terms from time to time. Continued use of the app or partnership
engagement constitutes acceptance of the updated Terms. We will notify you of any material
changes.
